Terms of Use
Elyse Collat LLC
Effective date:Ā AugustĀ 1, 2026
Last updated: September 3, 2026
1. Agreement to these terms
These Terms of Use ("Terms") are a binding agreement between you and Elyse Collat LLC, a Hawai'i limited liability company with its principal place of business at 1629 Wilder Ave #1201, Honolulu, HI 96822 ("Elyse Collat," "Company," "we," "us," or "our").
By accessing elysecollat.com, our Kajabi-hosted pages, our free content, or any product or program we sell, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use our Services.
We refer to everything we operate collectively as the "Services": our website and landing pages, our course and membership platform, our email list, our free resources, our paid digital products, and our coaching programs, including The Growth Lab, eCommerce Unlock, and The Ads Fix.
2. Order of precedence
Some of our programs require a separate signed agreement. Where you have signed a Client Agreement, Coaching Agreement, or similar contract with us, and any term of that agreement conflicts with these Terms, the signed agreement controls for the subject matter it covers. These Terms continue to apply to everything the signed agreement does not address.
3. Eligibility
To use our Services or buy from us you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding contract
- Be operating or intending to operate a business, since our Services are business-to-business education and coaching
- Not be barred from receiving our Services under the laws of the United States or your jurisdiction
If you are agreeing on behalf of a company, you represent that you have authority to bind it.
4. Your account
Some Services require an account on our Kajabi platform.
You agree to:
- Provide accurate and current information
- Keep your login credentials confidential
- Not share your login with anyone else
- Notify us immediately at hello@elysecollat.com if you suspect unauthorized access
One account, one person. Course and program access is licensed to you individually. Sharing your login, distributing your access, or using one purchase to serve multiple people or businesses is a material breach and grounds for immediate termination without refund.
We may suspend or terminate any account that we reasonably believe is being shared, resold, or used to copy our materials.
5. Purchases, pricing, and payment
5.1 Pricing
All prices are in US dollars unless stated otherwise. We may change our prices at any time. A price change does not affect an order you have already placed or a payment plan already in progress.
You are responsible for any taxes, duties, currency conversion charges, or bank fees your country or card issuer applies.
5.2 Payment
By purchasing, you authorize us and our payment processors to charge your payment method for the full amount of your order, including all installments under a payment plan.
Payment plans are not subscriptions. They are a financing arrangement for a total price you have already committed to. They cannot be paused, reduced, or cancelled part way through, and your obligation to pay the full amount survives your withdrawal from the program.
5.3 Failed payments
If a payment fails, we will notify you. You have 3 business days to resolve it. We may suspend your access to coaching, course materials, and community support after 5 failed payment attempts, until payment is received. Persistent missed payments may result in removal from the program without refund and without forgiveness of the outstanding balance.
We may refer unpaid balances to a collections agency and recover reasonable costs of collection, including attorneys' fees, to the extent permitted by law.
6. Refunds
Refund terms differ by product. Read the terms forĀ the product you are buying.
6.1 The Ads Fix (and other low-ticket digital products)
The Ads Fix carries a 7-day happiness guarantee. If it is not right for you, email hello@elysecollat.com within 7 days of purchase and request a refund. We will refund your purchase price in full and revoke your access to the materials.
Conditions:
- The request must be received within 7 days of the purchase timestamp
- Refunds are issued to the original payment method and typically appear within 5 to 10 business days
- On refund, your licence to the materials ends immediately and you must delete any downloaded copies
- We reserve the right to refuse a refund where we reasonably believe the guarantee is being abused, for example repeat purchase-and-refund behavior or evidence of copying or distributing the materials
Unless stated otherwise on the sales page, this same 7-day guarantee applies to our other low-ticket self-study digital products.
6.2 The Growth Lab and eCommerce Unlocked
All sales of The Growth Lab and eCommerce Unlock are final and non-refundable.
These programs involve reserved coaching capacity, immediate delivery of proprietary materials, and a signed Client Agreement. Your signed Client Agreement governs enrollment, payment obligations, the conditional ROI Guarantee, and the circumstances in which access may be extended. Nothing in these Terms creates a refund right for these programs.
6.3 Free content
Free resources, lead magnets, webinars, and challenges carry no purchase price and no refund right.
7. Chargebacks and disputes
If you have a billing problem, contact us first at hello@elysecollat.com. We will work with you in good faith.
Filing a chargeback or payment dispute instead of contacting us, where you have received the product or program you purchased, is a breach of these Terms. In that event we may:
- Immediately revoke your access to all products, programs, and communities
- Submit your signed agreement, access logs, and delivery records to the card network as evidence
- Pursue the outstanding balance as a debt, along with any dispute fees charged to us and reasonable costs of collection
Nothing in these Terms limits any right you have under applicable consumer protection law or your card network's rules. Where those rights conflict with this section, those rights prevail.
8. Licence to use our materials
When you purchase a digital product or enroll in a program, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the materials for your own business, for the duration of your access.
You may:
- Use the frameworks, templates, and strategies inside your own business
- Adapt templates for your own store, ads, and emails
- Take notes and keep them for your own reference
You may not:
- Copy, reproduce, republish, sell, rent, licence, or distribute any of the materials
- Share your login, downloads, or recordings with anyone else
- Screen record, screenshot, or transcribe course content or coaching calls for distribution
- Teach, coach, or train others using our materials, frameworks, or methodology
- Repackage our content into your own product, course, template, or service
- Use our materials to build, train, or fine-tune any artificial intelligence or machine learning model
- Remove or alter any copyright, trademark, or attribution notice
This licence ends automatically if you breach these Terms, if you receive a refund, or if your program access expires. On termination you must stop using and delete all copies of the materials.
9. Our intellectual property
All content on the Services, including text, graphics, logos, photographs, video, audio, course content, worksheets, templates, frameworks, methodologies, and software, is owned by Elyse Collat LLC or licensed to us, and is protected by copyright, trademark, and other laws.
Nothing in these Terms transfers ownership of anything to you.
10. Your content
10.1 What you submit
You may submit content to us: questions, Slack messages, worksheets, comments, survey responses, screenshots, and audio or video during calls ("Your Content").
You keep ownership of Your Content. You grant us a worldwide, royalty-free, non-exclusive licence to use, store, reproduce, and display Your Content solely to operate the Services, deliver coaching to you, and support other participants where you shared it in a group setting.
You represent that you own or have the right to submit Your Content and that it does not infringe anyone's rights or violate any law.
10.2 Testimonials, results, and likeness
We may ask to use your name, business name, photograph, likeness, voice, testimonial, and results in our marketing.
- If you have signed a Client Agreement containing a name and likeness consent, that consent applies as written in that agreement.
- Otherwise, we will use your testimonial or likeness in marketing only with your written consent.
- We do not publish your business name, store URL, or specific revenue figures without your separate approval.
- You may withdraw consent for future use at any time by emailing hello@elysecollat.com. We will stop using the material in new marketing and remove it from assets we control, though we cannot recall material already printed, distributed, or cached by third parties.
10.3 Recordings
Group and 1:1 coaching calls are recorded for the benefit of participants. By attending, you consent to being recorded. Recordings are our property. You may access recordings we make available to you during your enrollment, but you may not download, share, or distribute them.
11. Community conduct
Where we operate a community space, including Slack workspaces and group calls, you agree to:
- Communicate respectfully and professionally with us and with other participants
- Keep other participants' business information, numbers, and shared experiences strictly confidential
- Not pitch, solicit, recruit, or sell to other participants without our written permission
- Not post spam, harassment, discriminatory content, or anything unlawful
- Not share, export, or screenshot other participants' content outside the community
We may remove content, suspend access, or terminate your participation at our sole discretion, without refund and without forgiveness of remaining payments, if you breach this section.
12. Nature of the relationship
12.1 We are your coach, not your business partner
We provide education, strategy, and coaching. We do not operate your business, and we are not your employee, partner, agent, joint venturer, or fiduciary. Every decision about your business remains yours, and you are solely responsible for the outcomes of those decisions.
12.2 Not professional advice
Nothing we provide is legal, accounting, tax, financial, investment, medical, or mental health advice. We are not licensed to provide any of it. Consult a qualified professional in the relevant field before acting on anything you learn from us.
Coaching is not therapy or counselling and is not a substitute for professional mental health care.
12.3 Third-party platforms
We teach strategies for platforms we do not control, including Shopify, Meta, Google, TikTok, Klaviyo, and others. Those platforms change their algorithms, policies, features, and pricing without notice. We are not responsible for changes to them, for your account status on them, or for any loss arising from their acts or omissions. You are responsible for complying with the terms and advertising policies of every platform you use.
13. Results and earnings disclaimer
We do not guarantee any specific result, income, revenue, profit, or business outcome.
- Any figures, case studies, testimonials, or examples we publish are illustrative only and are not a promise, projection, or guarantee of what you will achieve.
- Your results depend on factors outside our control, including your product, market, pricing, margins, effort, consistency, capital, timing, prior experience, and economic conditions.
- Business involves risk, including the risk of losing money. You accept that risk.
- Any forward-looking statement we make reflects our opinion at the time, not a binding commitment.
The only exception is the conditional ROI Guarantee in the signed Client Agreements for The Growth Lab and eCommerce Unlocked. That guarantee is defined entirely by the terms of the signed agreement, its sole remedy is extended program access, and it does not guarantee income or profit. No cash refund is available under it.
If you require substantiation for a specific claim we have published, email hello@elysecollat.com.
14. Affiliate and partner links
We may link to third-party products and services and may earn a commission if you buy through our link. This does not change your price. We only recommend things we believe are useful, but we are not responsible for third-party products, and any purchase you make from a third party is between you and them.
15. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to our systems, accounts, or content
- Scrape, crawl, spider, or harvest content or data from the Services by automated means
- Introduce malware, viruses, or any harmful code
- Interfere with or disrupt the Services or the networks they run on
- Impersonate any person or misrepresent your affiliation
- Use the Services to compete with us, including to build a competing coaching or education product
16. Availability and disclaimer of warranties
We aim to keep the Services available, but we do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Services at any time. Where a product is sold with lifetime access, "lifetime" means for as long as we continue to offer that product, and we will give reasonable notice and the ability to download available materials before retiring it.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. Nothing in these Terms excludes any guarantee, right, or remedy that cannot lawfully be excluded, including under the Australian Consumer Law or applicable US consumer protection law.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services, regardless of the form of action and whether in contract, tort, warranty, or otherwise, will not exceed the total amount you paid us in the 12 months preceding the event giving rise to the claim.
- We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, loss of goodwill, or business interruption, even if we were advised of the possibility.
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
18. Indemnification
You agree to indemnify, defend, and hold harmless Elyse Collat LLC and its members, managers, employees, contractors, agents, and representatives from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your use of the Services
- Your breach of these Terms or any signed agreement with us
- Your violation of any law or the rights of any third party
- Your business decisions, operations, products, marketing, or advertising
- Content you submit or share
19. Term and termination
These Terms apply while you use the Services.
We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, breach a signed agreement, fail to pay, or engage in conduct we reasonably believe is harmful to us or to other participants. Termination for breach does not entitle you to a refund and does not release you from outstanding payment obligations.
You may stop using the Services at any time. Ending your use does not cancel a payment plan or any other obligation you have already incurred.
Sections that by their nature should survive termination will survive, including Sections 6 through 10 and 13 through 21.
20. Governing law and dispute resolution
20.1 Governing law
These Terms are governed by the laws of the State of Hawai'i, without regard to its conflict-of-laws principles.
20.2 Informal resolution first
Before starting any formal proceeding, you agree to contact us at hello@elysecollat.com with a written description of the dispute and to attempt to resolve it informally in good faith for at least 30 days.
20.3 Jurisdiction
If we cannot resolve a dispute informally, any action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Honolulu, Hawai'i. You consent to the personal jurisdiction of those courts and waive any objection to venue.
20.4 No class actions
To the fullest extent permitted by law, you and we agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
20.5 Time limit
Any claim arising out of or relating to these Terms or the Services must be filed within one year after the claim arose, or it is permanently barred, except where applicable law requires a longer period.
21. General
Entire agreement. These Terms, our Privacy Policy, and any signed agreement between us are the entire agreement between you and us regarding the Services, and supersede any prior understanding, representation, or marketing statement.
Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms or your access without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, illness, power or internet failure, platform outages, government action, or civil disturbance.
Changes to these Terms. We may update these Terms from time to time. The "Last updated" date will change, and material changes will be notified by email or by a prominent notice on our website. Your continued use of the Services after the effective date means you accept the updated Terms.
Headings. Section headings are for convenience only and do not affect interpretation.
